IN NO EVENT SHALL PIZZA LUCE'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE OR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO PIZZA LUCE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

8. Indemnification

You agree to defend, indemnify, and hold harmless Pizza Luce and its respective officers, directors, employees, agents, licensors, suppliers, and successors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to:

9. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Pizza Luce's primary place of business is located, without regard to its conflict of law principles.

Subject to the dispute resolution provisions below, you agree that any legal action or proceeding arising from or relating to these Terms or your use of the Website shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

These Terms are subject to applicable federal laws, including but not limited to:

  • The Federal Trade Commission Act (15 U.S.C. § 41 et seq.) governing unfair or deceptive trade practices;
  • The Electronic Communications Privacy Act (18 U.S.C. § 2510 et seq.);
  • The Computer Fraud and Abuse Act (18 U.S.C. § 1030);
  • The Children's Online Privacy Protection Act (COPPA) (15 U.S.C. § 6501 et seq.); and
  • The Digital Millennium Copyright Act (DMCA) (17 U.S.C. § 512).

If you are a resident of California, you may have additional rights under the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA). Please refer to our Privacy Policy for information regarding your California privacy rights.

10. Dispute Resolution

10.1 Informal Resolution

In the event of any dispute, claim, or controversy arising from or relating to these Terms or your use of our Website or services, we encourage you to first contact us directly at [email protected] to attempt to resolve the matter informally. We will make reasonable efforts to address your concerns within thirty (30) days of receiving your written notice. The notice must describe the nature of the dispute and the relief sought.

10.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising from or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA) or JAMS, as mutually agreed upon. The arbitration shall be conducted in English and shall take place in the United States in a location to be agreed upon by the parties.

THE PARTIES UNDERSTAND THAT BY AGREEING TO ARBITRATION, THEY ARE WAIVING THEIR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LITIGATION. YOU AGREE THAT ANY ARBITRATION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

10.3 Class Action Waiver

To the fullest extent permitted by applicable law, you waive your right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, or any consolidated or representative proceeding against Pizza Luce. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

10.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to preserve the status quo pending arbitration.

11. Term and Termination

These Terms of Service are effective as of the date you first access or use the Website and shall remain in full force and effect while you continue to use the Website or maintain an account with us.

Pizza Luce reserves the right, in its sole discretion, to suspend or terminate your access to the Website and services, with or without notice and without liability to you, for any reason, including but not limited to:

  • Your violation of any provision of these Terms;
  • Suspected fraudulent, abusive, or illegal activity;
  • Requests by law enforcement or other government authorities;
  • Discontinuation or material modification of the Website or services; or
  • Unexpected technical or security issues.

You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Upon termination, your right to access and use the Website and services shall immediately cease. Termination does not relieve you of any obligations or liabilities incurred prior to the date of termination.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, Dispute Resolution, and any other provisions that impose continuing obligations.

12. Changes to Terms

Pizza Luce reserves the right to revise, amend, or replace these Terms of Service at any time and at its sole discretion. We will notify you of material changes by:

  • Posting the revised Terms on this page with an updated "Last Updated" date;
  • Sending an email notification to the address associated with your account (if applicable); or
  • Displaying a prominent notice on the Website.

Your continued access to or use of the Website after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue your use of the Website and, if applicable, close your account.

We encourage you to review these Terms periodically to stay informed of any updates. The most current version of these Terms will always be available at luce-new.rest.

13. Privacy Policy

Your use of the Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, store, and protect your personal information in compliance with applicable federal and state privacy laws, including the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA) for California residents. Please review our Privacy Policy carefully before using the Website.

14. Third-Party Links and Services

Our Website may contain links to third-party websites, applications, or services that are not owned or controlled by Pizza Luce. We have no control over and assume no responsibility for the content, privacy policies, practices, or terms of any third-party websites or services. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website from our Website, you do so at your own risk, and you acknowledge that these Terms do not apply to your use of such third-party sites. We strongly advise you to read the terms and privacy policies of any third-party sites you visit.

15. Food Safety, Allergen, and Nutritional Information

We take food safety seriously and make reasonable efforts to provide accurate allergen and nutritional information on our Website and menus. However, our food products are prepared in a kitchen environment where cross-contamination with common allergens, including but not limited to wheat, dairy, eggs, nuts, soy, shellfish, and fish, may occur.

We cannot guarantee that any menu item is completely free from any allergen. Customers with known food allergies, intolerances, or dietary restrictions are strongly encouraged to contact us directly at [email protected] before placing an order. Pizza Luce shall not be responsible for any adverse health reactions resulting from the consumption of our products by individuals who have not disclosed their dietary restrictions or who have been adequately warned of potential allergen risks.

Nutritional information provided on our Website is based on standard recipes and may vary due to portion size, ingredient substitutions, preparation methods, and seasonal availability.

16. Force Majeure

Pizza Luce shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic or epidemic events, war, terrorism, civil unrest, government actions, labor disputes, utility failures, internet or telecommunications outages, or any other force majeure event. In such circumstances, we will make reasonable efforts to resume normal operations as soon as practicable and will notify affected customers where feasible.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by us on the Website, constitute the entire agreement between you and Pizza Luce with respect to your use of the Website and services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the same subject matter.

No failure or delay by us in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No waiver of any breach of any provision of these Terms shall be construed as a continuing waiver of other breaches of the same or other provisions.

18. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction or an arbitrator to be invalid, illegal, unenforceable, or contrary to applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, such provision shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, which shall remain in full force and effect.

The parties agree that a court or arbitrator may modify any invalid or unenforceable provision to give effect to the original intent of the parties to the maximum extent permitted by applicable law.

19. Assignment

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. Pizza Luce may freely assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.

20. Electronic Communications and Consent

By using our Website and services or communicating with us electronically, you consent to receive electronic communications from Pizza Luce. These communications may include order confirmations, receipts, customer service responses, promotional offers, and legal notices. You agree that any notices, agreements, disclosures, or other communications we send to you electronically will satisfy any legal communication requirement, including any requirement that communications be in writing.
